Terms of Service

Verdalia helps you care for your houseplants. By using it, you agree to these terms. Verdalia is a commercial service with a free plan and a paid plan — these terms cover both, and we’ve kept them as plain as we can.

Accepting these terms

By creating an account or using Verdalia, you agree to these terms and to our Privacy Policy. If you don’t agree, please don’t use the service. You need to be old enough to enter into a contract where you live; if you’re not, please ask a parent or guardian to accept these terms on your behalf.

Who you’re contracting with

Verdalia is built and operated by Artyom Balamutyuk. Paid subscriptions are sold by Fundacja Rozwoju Przedsiębiorczości "Twój StartUp", registered office at ul. Żurawia 6/12, lok. 766, 00-503 Warszawa, Poland, entered in the National Court Register kept by the District Court for the Capital City of Warsaw in Warsaw, 12th Commercial Division under KRS number 0000442857, NIP (EU VAT ID) PL5213641211, REGON 146433467. The foundation acts as the seller and merchant of record: it issues your invoice and is responsible for VAT and other transaction taxes. Your contract for a paid subscription is therefore with the foundation, while these terms govern your use of the service itself. Verdalia does not calculate tax and does not issue the legal invoice.

Your account

You’re responsible for keeping your login details safe and for activity under your account. Please use an email address you can actually receive mail at — it’s how we send billing notices and security messages, and how we help you recover access. Let us know promptly if you think someone else has got into your account.

Plans and billing

Verdalia has a free plan and a paid plan (Pro). What each plan includes — including its storage and plant-identification allowances — is shown in the app under Plan & billing, and may change as the service evolves; we’ll give you notice before a change meaningfully reduces what your current paid plan offers. The price, currency and billing period are shown before you confirm, and tax is handled by the seller named above. Depending on how you sign up, you’ll either be invoiced by the foundation and pay by bank transfer, or pay by card through our payment provider. Unless you cancel, a paid subscription continues into the following billing period.

Cancellation, failed payments and refunds

You can cancel Pro at any time from Plan & billing. Cancelling takes effect at the end of the period you’ve already paid for — you keep Pro until that date, then the account moves to the free plan; we don’t bill you again and we don’t refund the period in progress. If a payment for a renewal doesn’t go through, you don’t lose Pro straight away. Where we bill you directly — against an invoice from the foundation, or by charging a card you have saved with us — Pro continues for a further 7 days, and the account moves to the free plan if payment has not arrived by then. Where a card provider manages the subscription instead, that provider runs its own retry schedule, and Pro continues until it tells us the subscription has ended. Moving to the free plan never deletes your plants, photos or history, though if you’re above a free-plan allowance you may need to remove some content before adding more. If a payment is refunded or reversed, including a card chargeback, Pro access ends immediately. If a chargeback is later decided in our favour and the funds are returned to us, Pro is restored. Consumers in the EU keep their statutory 14-day right of withdrawal; if you ask us to start your subscription straight away, you agree we may begin before that period ends, and we may charge for what you have used by then. Acceptable use

Use Verdalia to tend your own plants. Don’t try to break, overload or abuse the service, access other people’s data, resell access, or use it for anything unlawful. We may suspend or close an account that does — and where we close a paid account for a serious breach of these terms, we don’t refund the remainder of the period.

Your content

The plants, photos and notes you add stay yours. You grant us only the permission needed to store them, process them and show them back to you within the app — and to the people you deliberately share them with. We don’t sell your content and we don’t use your photos or plant data to train AI models. You can delete any plant or photo at any time; deleting a plant also deletes its stored photo files. In the rare case our storage refuses that deletion, the file stops being reachable from the app — tell us and we will remove it. If you switch on a public collection link, whatever that page shows is visible to anyone holding the link until you switch it off.

Availability and liability

Verdalia is provided as is. We work to keep it running, but we don’t promise any particular level of availability and we can’t guarantee it will be uninterrupted, error-free or fit for a particular purpose. Care reminders and suggestions are advisory: they’re derived from what you tell us and from general guidance, not from an inspection of your plant, so you remain responsible for your plants. Automated hardware features, such as watering, are designed to fail safe — but you stay responsible for your equipment and anything connected to it. To the fullest extent the law allows, our total liability to you is limited to the amount you paid in the twelve months before the claim; nothing here limits liability that cannot lawfully be limited, including for death, personal injury, or fraud.

Changes

We may update these terms as the service evolves. When we do, we’ll change the “Last updated” date above, and where a change materially affects you as a paying subscriber we’ll email you before it takes effect. Continuing to use Verdalia after a change means you accept the updated terms; if you’d rather not, you can cancel.
